These Terms of Service govern your access to and use of the website at vertial.net (the "Website"), operated by Vertial Telecom LLC ("Vertial", "we", "us"), a limited liability company with its registered office at 1507 Lampman Court, Cheyenne, WY 82007, United States. By accessing the Website you accept these terms. If you do not accept them, please do not use the Website.
2. Scope — website only
These terms apply to the Website itself. They do not govern the provision of any service by Vertial. Infrastructure, hosting, development, data, security and audit engagements are provided exclusively under a separate written agreement, which sets out scope, deliverables, service levels, fees, warranties, confidentiality and liability for that engagement. In the event of any conflict, the signed engagement agreement prevails over these terms.
3. No offer and no advice
The content of the Website is provided for general information about Vertial and its areas of work. It does not constitute a binding offer, a quotation, a warranty of any particular result, or professional advice on which you should act without a specific engagement. Any statement about capability, methodology, availability or timescale is indicative and becomes binding only when set out in a signed agreement.
4. Intellectual property
All content on the Website — including text, page structure, layout, design, graphics, the Vertial name and the Vertial "V" logo, and the underlying source code — is owned by Vertial Telecom LLC or licensed to us, and is protected by applicable intellectual property law.
You may view the Website, and print or download extracts for your own internal, non-commercial reference. You may not otherwise reproduce, republish, distribute, modify, frame, or create derivative works from the content, nor use our name or logo in a way that suggests endorsement or association, without our prior written permission.
The Ubuntu typeface used on this Website is distributed under the Ubuntu Font Licence and remains the property of its respective rights holders. Nothing in these terms transfers any right in that typeface to you.
5. Acceptable use
You agree not to:
- use the Website for any unlawful purpose or in breach of any applicable regulation;
- attempt to gain unauthorised access to the Website, the server hosting it, or any connected system;
- probe, scan or test the vulnerability of our infrastructure without our prior written authorisation;

- introduce malicious code, or use the Website to distribute it;

Do not access, modify or exfiltrate data belonging to us or to any third party while investigating. Reports made in good faith and in line with this paragraph will be treated as such.
7. Availability
We aim to keep the Website available, but we do not guarantee that it will be uninterrupted or error-free. We may change, suspend, restrict or withdraw all or part of the Website at any time, including for maintenance, without notice and without liability to you. Nothing in this paragraph affects service levels agreed in a contracted engagement.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

You agree to indemnify Vertial against any loss, damage, cost or expense reasonably incurred as a result of your breach of these terms or your unlawful use of the Website.
12. Privacy
Our handling of personal data in connection with the Website is described in our Privacy Policy, which forms part of these terms. In short: this Website sets no cookies, runs no analytics and loads no third-party content.
13. Communications
Contacting us through the addresses published on the Website does not create a contractual relationship, a retainer, or any duty of care on our part. A relationship arises only once a written agreement is signed by both parties. Unsolicited material sent to us is not treated as confidential unless we have agreed in writing to receive it in confidence, so please do not send sensitive information before that is in place.

15. Severability and waiver

16. Governing law
These terms and any dispute arising out of or in connection with them are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. The state and federal courts located in Laramie County, Wyoming shall have exclusive jurisdiction — save that we retain the right to bring proceedings in any other jurisdiction where a breach occurs, and save for any mandatory consumer protections available to you in your country of residence.
